APX Corporation Inc. ("APX") confirms that it has entered into a strategic capital partnership with Kickin Assets Sports Inc. ("Kickin Assets") in connection with the proposed USL League One expansion in Everett, Washington.

Under this partnership, APX serves as the strategic capital formation and execution partner for the Everett expansion. This role encompasses structured funding support for the initial franchise payment upon league approval, phased capitalization aligned with the agreed long-term franchise development plan, and full-service institutional execution across fundraising, investor relations, strategic positioning, and commercial acceleration.

APX has verified and allocated capital capacity sufficient to support the initial capitalization requirements of the Everett expansion. The capital structure has been designed to ensure institutional stability and long-term sustainability of the Everett franchise. APX maintains established institutional banking relationships with major U.S. financial institutions and operates a capital formation platform purpose-built for multi-asset sports investment programs.

APX and Kickin Assets are fully aligned in structuring long-term capitalization and minority investor participation for the project. A binding Strategic Joint Execution Agreement was executed between the parties on February 9, 2026, formalizing APX's role as capital partner and strategic execution advisor across six integrated workstreams. Formal capital deployment documentation will be completed in connection with league approval and expansion award.
